1. Acceptance of Terms

By accessing and using OnlineBarnManagement (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to abide by the above, please do not use this service. We reserve the right to update and change these Terms at any time without notice. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

2. Eligibility

You must be at least 18 years old and a resident of the United States to use this Service. By using this Service, you represent and warrant that you meet these eligibility requirements. We reserve the right to terminate your account if we discover that you do not meet these requirements.

3. Service Description

OnlineBarnManagement provides a comprehensive barn management software platform that enables barn owners, managers, boarders, and staff to manage horse care, payments, scheduling, communications, and administrative tasks. The Service includes:

  • Admin dashboard for barn owners and managers
  • Boarder portal for horse owners and boarders
  • Staff portal for barn employees
  • Payment processing via PayPal
  • Horse care tracking and scheduling
  • Messaging and communication tools
  • Task management and assignment features
  • Reporting and analytics capabilities

4. Subscription & Pricing

4.1 Subscription Plans

The Service is offered on a subscription basis. The current subscription price is $119 per year (billed annually). We reserve the right to change pricing with 30 days' notice. Price changes will not affect existing subscriptions until renewal.

4.2 Free Trial

We offer a -day free trial for new users. During the trial period, you have full access to the Service. To continue using the Service after the trial period, you must provide valid payment information and agree to be charged the subscription fee. Your trial will automatically convert to a paid subscription unless you cancel before the trial period ends.

4.3 Payment Methods

We accept payments through PayPal. All payments are processed securely, and your payment information is subject to PayPal's privacy and security policies. You are responsible for providing accurate payment information and keeping it up to date.

4.4 Billing & Renewal

Your subscription will automatically renew on the anniversary date of your subscription start date, unless you cancel before the renewal date. You will be charged the current subscription price at the time of renewal. We will send you a reminder email before your subscription renews.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your access to the Service will terminate at the end of your current billing period. No refunds will be issued for partial months or unused portions of your subscription.

5. User Accounts & Responsibilities

5.1 Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account.

5.2 User Conduct

You agree not to use the Service in any manner that:

  • Violates any applicable laws or regulations
  • Infringes on the rights of others
  • Harasses, abuses, or threatens other users
  • Transmits viruses, malware, or harmful code
  • Attempts to gain unauthorized access to the Service
  • Disrupts the normal operation of the Service
  • Impersonates another person or entity
  • Engages in any form of fraud or deception

5.3 Data Accuracy

You are responsible for the accuracy of all information you enter into the Service, including horse information, boarder details, and payment records. We are not responsible for errors or inaccuracies in data that you provide.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all software, code, design, graphics, and content, is owned by OnlineBarnManagement or its licensors and is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or business use in accordance with these Terms.

6.2 Your Content

You retain ownership of all content you create and upload to the Service (such as horse information, photos, and documents). By uploading content to the Service, you grant us a worldwide, royalty-free license to use, store, and process that content for the purpose of providing the Service. You represent and warrant that you own or have the necessary rights to all content you upload.

7. Limitation of Liability

7.1 Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ONLINEBARNMANAGEMENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.3 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Service Availability & Maintenance

While we strive to maintain 99% uptime, we do not guarantee uninterrupted service. We may perform maintenance, upgrades, or repairs to the Service at any time, which may temporarily interrupt service. We will attempt to provide advance notice of scheduled maintenance when possible. We are not liable for any damages or losses resulting from service interruptions, downtime, or maintenance.

9. Data Backup & Loss Prevention

While we maintain regular backups of your data, you are responsible for maintaining your own backups of critical information. We are not liable for any loss of data resulting from your failure to maintain backups. We recommend regularly exporting and archiving your data outside of the Service.

10. Termination of Service

10.1 Termination by You

You may terminate your account and subscription at any time by logging into your account and following the cancellation process. Upon termination, your access to the Service will cease immediately, and your data will be retained in accordance with our data retention policy.

10.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without notice, if:

  • You violate these Terms of Service
  • Your payment method fails or is invalid
  • You engage in fraudulent or illegal activity
  • You violate the rights of other users
  • We determine, in our sole discretion, that your account poses a risk to the Service or other users

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination will survive, including limitation of liability, intellectual property rights, and indemnification.

11. Indemnification

You agree to indemnify, defend, and hold harmless OnlineBarnManagement, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of third parties.

12. Governing Law & Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state and federal courts located in the United States.

13. Dispute Resolution & Arbitration

Before initiating any legal proceedings, you agree to attempt to resolve any dispute with us by contacting us at tenant.relay@onlinebarnmanagement.com. If we cannot resolve the dispute within 30 days, you may pursue legal action. Any litigation shall be conducted on an individual basis and not as a class action.

14. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to you via email or by posting a notice on our website. Your continued use of the Service following notification of changes constitutes your acceptance of the modified Terms.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies or agreements we provide, constitute the entire agreement between you and OnlineBarnManagement regarding your use of the Service and supersede all prior negotiations, understandings, and agreements.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, or if that is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
